afterbatch Terms of Service

These Terms of Service ("Terms") govern your access to and use of afterbatch's website, dashboard, APIs, and webhook notification services (the "Services"). By using the Services, you agree to these Terms.
1. Who We Are
"afterbatch" ("afterbatch", "we", "us", "our") provides tooling that monitors external LLM batch-processing providers and sends webhook notifications based on state changes.

2. Eligibility and Account Registration
- You must be legally able to enter into a binding contract.
- You are responsible for account credentials and all activity under your account.
- You must provide accurate information and keep it updated.
- Unless otherwise agreed, the Services are intended for business users. If you are a consumer under Section 13 BGB, mandatory consumer protections remain unaffected.
3. Service Description and Scope
- The Services track provider batch states and send signed webhook notifications.
- We do not guarantee uninterrupted operation, exact delivery timing, or zero-loss conditions.
- Webhook delivery is at-least-once; duplicates can occur. You must implement idempotency handling.
- We do not control third-party provider APIs or your webhook infrastructure.
4. Customer Responsibilities
You agree to:
- Maintain valid rights to use connected provider API keys and data.
- Secure your systems and validate webhook signatures.
- Handle duplicate deliveries safely.
- Keep webhook endpoints lawful, reachable, and technically compatible.
- Comply with all applicable laws, regulations, and third-party terms.
You are solely responsible for:
- Your prompts, data, outputs, and any downstream actions.
- Costs charged by your LLM providers or infrastructure vendors.
- Your own privacy notices and legal obligations to end users.
5. Acceptable Use
You must not use the Services to:
- Violate law or third-party rights.
- Interfere with service security, integrity, or availability.
- Attempt unauthorized access, scraping beyond authorized means, or abuse rate limits.
- Send malicious payloads or use webhook endpoints for harmful activity.
We may suspend or terminate access for violations or security risk.
6. Third-Party Services
The Services rely on third parties (for example, identity providers, secret managers, cloud infrastructure, queue/database systems, and LLM providers). We are not responsible for third-party outages, policy changes, pricing changes, or API behavior.
7. Data and Privacy
Our processing of personal data is described in the Data Policy:

You grant us permission to process account and integration data as needed to provide, secure, and improve the Services.
8. Confidentiality and Security
- We apply reasonable security measures but cannot guarantee absolute security.
- You must protect your own credentials, secrets, and endpoint infrastructure.
- You must promptly notify us of suspected unauthorized use or incidents.
9. Beta / Pre-Release Status
If features are marked beta, preview, or pre-release, they are provided "as is" and may change or be discontinued without notice.
10. Fees and Billing
Unless separate commercial terms apply, current usage is provided on a pre-release basis.
If paid plans are introduced, pricing, invoicing, taxes, and payment terms will be provided separately and may be incorporated into these Terms.
11. Intellectual Property
- We retain all rights in the Services, software, branding, and documentation.
- You retain rights in your content, data, and configurations.
- You grant us a limited license to process your data solely to operate and improve the Services consistent with these Terms.
12. Disclaimers
To the extent permitted by applicable law, the Services are provided "as is" and "as available". We do not guarantee uninterrupted availability, specific uptime, or error-free operation.
Nothing in these Terms excludes rights that cannot be waived under mandatory law.
13. Limitation of Liability
Our liability is limited as follows:
- We are liable without limitation for intent and gross negligence.
- We are liable without limitation for injury to life, body, or health.
- Liability under the German Product Liability Act (Produkthaftungsgesetz) remains unaffected.
- In cases of slight negligence, we are liable only for breach of essential contractual obligations (Kardinalpflichten). In that case, liability is limited to foreseeable, typically occurring damage.
- In all other cases, liability for slight negligence is excluded.
- The above limitations also apply to liability of our legal representatives, employees, and vicarious agents.
Any mandatory statutory liability rules remain unaffected.
14. Indemnification
To the extent permitted by law, you will indemnify and hold harmless afterbatch and its personnel from third-party claims arising from:
- Your use of the Services.
- Your violation of these Terms or applicable law.
- Your data, webhook endpoints, or provider integrations.
15. Termination
- You may stop using the Services at any time.
- We may suspend or terminate access for breach, risk, abuse, legal requirement, or service discontinuation.
- Provisions that should survive termination (for example, liability limits, indemnity, IP, governing law) survive.
16. Changes to Terms
We may update these Terms. Continued use after the effective date of revised Terms constitutes acceptance, where permitted by law.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Germany, excluding conflict-of-laws rules and the UN Convention on Contracts for the International Sale of Goods (CISG).
If you are a consumer in the EU, mandatory consumer protection rules of your country of habitual residence remain unaffected.
18. Miscellaneous
- Entire agreement: These Terms and any incorporated policies are the full agreement regarding the Services.
- Severability: If one provision is unenforceable, the remainder remains in effect.
- No waiver: Failure to enforce a provision is not a waiver.
- Assignment: You may not assign these Terms without consent; we may assign in connection with corporate transactions.
